Alliance Boots acquires megapharm in Germany

Alliance Boots has today acquired a 90% stake in megapharm GmbH, a specialised German distributor of oncology products. The acquisition, which has recently been approved by EU competition regulators, will enable Alliance Boots to enhance its position in the specialty drugs sector.

Based in Sankt Augustin, near Bonn, megapharm provides a range of specialised wholesaling and logistics services for oncology products. It is the only wholesaler in Germany to supply the full range of oncology drugs. The revenue for megapharm for the year ended 31 March 2008 was approximately £235 million. Within Alliance Boots, the new business will become part of the Pharmaceutical Wholesale Division which is led by Ornella Barra, Board Member and Wholesale & Commercial Affairs Director of Alliance Boots.

A 10% stake in megapharm will be held by Dr. Matthias Ackermann, its current Chief Executive, who will continue to lead the business.

Berlin - Der britische Pharmahandelskonzern Alliance Boots steigt als Mehrheitseigner beim deutschen Spezialgroßhändler Megapharm ein. Die EU-Kommission genehmigte in dieser Woche den bereits Anfang September beantragten Zusammenschluss. Für einen unbekannten Preis gehen rund 90 Prozent der Anteil an Europas drittgrößten Pharmahändler. Alliance Boots ist abgesehen von seiner Beteiligung an der Anzag sowie einigen kleineren Investments bislang nicht in Deutschland vertreten.
Megapharm hat sich auf den Vertrieb von onkologischen Produkten spezialisiert und beliefert eigenen Angaben zufolge rund 400 Apotheken und arbeitet mit einer Vielzahl der 350 niedergelassene Hämatoonkologen zusammen. Laut Geschäftsführer Dr. Matthias Ackermann ist das Unternehmen der einzige vollsortierte Großhändler im Bereich der Onkologie; fast die Hälfte der angebotenen Produkte ist nicht im klassischen Pharmagroßhandel verfügbar.
Im vergangenen Jahr erwirtschaftete Megapharm knapp 290 Millionen Euro, fast ein Drittel mehr als im Vorjahr. Der Rohertrag lag mit 9,6 Millionen Euro 6 Prozent über Vorjahresniveau. Nur noch ein Drittel der rund 100 Angestellten sind laut Ackermann in der Logistik tätig; Megapharm engagiert sich außerdem in der Aufarbeitung medizinischer Daten, Verhandlungen zur integrierten Versorgung sowie in der Forschung.
Dem Firmengründer zufolge will Alliance Boots Megapharm in diesen Bereichen weiter ausbauen. Eine Ausdehnung des Großhandelsgeschäfts auf andere Indikationen sei dagegen nicht geplant. Aufgrund des inhaltlichen Ansatzes habe der Konzern aus Großbritannien auch den Zuschlag erhalten. Megapharm hatte einen neuen Partner gesucht, nachdem zwei der bisherigen Eigentümer aussteigen wollten: Bislang hatten neben Ackermann Wilfried Mohr, Chef des onkologischen Generikahersteller Medac, sowie Ferdinand Bach, Chef des Forschungsunternehmens Oncoscience, Anteile an Megapharm gehalten.

Alliance Boots has bought a 90 per cent stake in German specialist drugs distributor Megapharm.

The acquisition of Megapharm, which distributes oncology products, has been approved by European Union competition regulators and will extend Alliance Boots' reach in the specialty drugs sector.

The move is the latest in a string of acquisitions by Alliance Boots, which is focusing on building its international presence.

Megapharm will become part of the pharmaceutical wholesale division of Alliance Boots, led by board member and wholesale and commercial affairs director Ornella Barra.

Megapharm chief executive Dr Matthias Ackermann will retain a 10 per cent stake and continue to head the business. Revenue at Megapharm in the year to March 31 was about £235 million.

The company said the acquisition, which earlier this week was approved by the European Commission, will enable it to "enhance its position in the specialty drugs sector."

Based in Sankt Augustin, near Bonn, Megapharm provides a range of specialized wholesaling and logistics services for oncology products. It is the only wholesaler in Germany to supply the full range of oncology drugs. The revenue for Megapharm for the year ended March 31 was approximately GBP235 million, according to Alliance Boots.

Mit der Zustimmung der Europäischen Kommission übernimmt der britische Konzern den auf Krebsmedikamente spezialisierten Arzneimittelgroßhändler Megapharm. Damit greift Alliance Boots die Hauptkonkurrenten im europäischen Pharmahandel, Celesio und Phoenix, in ihrem Heimatmarkt an. Experten hatten schon lange einen Einstieg der Briten in Deutschland erwartet. Alliance Boots betreibt neben dem Großhandel europaweit rund 1200 Apotheken. Im Falle einer Liberalisierung gilt es als sicher, dass die Briten, die 2007 etwa 19 Mrd. Euro umsetzten, auch in den deutschen Apothekenmarkt einsteigen. FTD
